Infleqtion takes another step towards going public

The proposed business combination was announced in September 2025, and is expected to be completed in Q1 2026. This wil make Infleqtion a publicly-traded company on a yet-undisclosed North American exchange.

Neutral atom quantum company Infleqtion and special purpose acquisition company Churchill Capital Corp X (Churchill X) have filed their joint registration statement on Form S-4 (the “Registration Statement”) with the U.S. Securities and Exchange Commission (SEC). This step officially advances the two companies’ proposed business combination, announced in September 2025, which will make Infleqtion a publicly-traded company. 

Upon closing, the combined company will operate as “Infleqtion, Inc.” and is expected to be listed on a North American exchange under the ticker symbol “INFQ.” The business combination remains subject to approval by Churchill X shareholders, the Registration Statement being declared effective by the SEC, and other customary closing conditions. The business combination is expected to close in Q1 of 2026.

Infleqtion, which develops neutral atom quantum computers and precision sensors, raised US$100m in its Series C held in June 2025. The company says it expects the proposed business combination to deliver at least US$540m more in gross proceeds, assuming no redemptions by Churchill Capital Corp X shareholders of the amounts held in trust. This includes more than US$125 million of incremental capital raised through a common stock PIPE at the transaction valuation from leading existing and new institutional investors. 

Proceeds from the proposed business combination are expected to accelerate Infleqtion’s technology roadmap, which targets 1,000 logical qubits by the year 2030, as well as product commercialization and expanding applications across artificial intelligence, national security, and space.
